Abstract: Este trabalho aborda a sociedade unipessoal como mecanismo de limitação de responsabilidade patrimonial do empresário individual, buscando evidenciar a legislação brasileira, bem como a experiência e legislação portuguesa a respeito da temática. Afirmase que a legislação e experiência portuguesas são bem mais aperfeiçoadas que a legislação brasileira, donde se pretendeu extrair e abordar algumas alternativas e propostas para a experiência do instituto em território brasileiro. Porém, antes de alcançar essa etapa passou-se, sumariamente, pela evolução do instituto da limitação da responsabilidade patrimonial. Após, foi necessário adentrar em questões dogmáticas a respeito da (in)admissibilidade da sociedade unipessoal, apresentando as principais correntes doutrinais. Foram apresentados alguns importantes aspectos de ordenamentos em que a figura da sociedade unipessoal é aceita, com destaque para a legislação e disciplina portuguesas. Enfim, tratou-se da Eireli (Empresa Individual de Responsabilidade Limitada), bem como de outras de propostas legislativas que visam conceder ao empresário individual a limitação patrimonial. Optou-se, por fim, tratar da possibilidade e disciplina do negócio realizado entre sociedade unipessoal e sócio único, contrapondo a legislação portuguesa e brasileira. ABSTRACT This academic work discusses the single-member company as a mechanism of limitation of the liability of the individual entrepreneur, seeking to highlight the Brazilian legislation, as well as the experience and legislation of Portugal about this topic. The legislation and Portuguese experience are much more refined than the Brazilian legislation, where this work aims to extract and discuss some alternatives and proposals for the experience of the institute in the Brazilian territory. But before that, to reach this goal, it is necessary to pass by the development of the legal institute of limitation of liability. After, it was necessary to enter into questions of dogmatic about the (in) admissibility of the single-member company, introducing the main currents doctrinal. This work presents some important aspects of systems in which the single-member company accepted, with emphasis to the Portuguese legislation. Finally, this study discuss the EIRELI (individual limited liability company) figure is inserted in the Brazilian law that has generated a lot of discussions on doctrinal, in particular concerning its legal nature and consequences of such a legal framework.
